Hidoc Dr. and its Affiliates – Terms and Conditions

Hidoc and its affiliates provides an Application/Platform (hereinafter referred to as the “App”) that enables a user (hereinafter referred to as a “User” or “you”) to access the App(hereinafter referred to as the “Service”).The Service and the App may collectively be referred to herein as the “Platform.” The App/Platform is owned by Hidoc Dr. Inc., 2055 Limestone Rd, STE 200-C, Wilmington, DE, 19808(hereinafter referred as “LLP” or “Company” or “We“).

Your use of the Service is subject to the ‘Terms and Conditions’ (hereinafter referred to as the “Terms” or “T&C” or “Terms and Conditions”).

PLEASE READ THE TERMS CAREFULLY. BY ACCESSING OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, EXIT THIS PAGE AND DO NOT ACCESS OR USE THE SERVICE. USE OF THE SERVICE IS EXPRESSLY CONDITIONED UPON YOUR ACCEPTANCE OF THE TERMS. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON THAT ENTITY’S BEHALF, IN WHICH CASE “YOU” WILL MEAN THAT ENTITY.

Acceptance of Terms

By accessing or using the services of Hidoc Dr. and its affiliated platform (“we”, “us”,” our”), including but not limited to the Hidoc Dr. app, website, and other tools (“Platform”), and any Medibot services, including chatbots or AI-based assistance platforms, you agree to these Terms & Conditions ("Terms").

Updates to Terms and Conditions; Integration

We may, in our sole discretion, modify the Terms and Conditions by posting a notice on the Terms and Conditions page. The “Last Updated” date at the top the Terms and Conditions indicates when the latest modifications were made to the Terms. By continuing to use Medibot services or sending personal documents to MedibotSoft.com, you consent to these modifications. Therefore, you are responsible for reviewing and should become familiar with any such modifications. You are encouraged to review this Terms and Conditions periodically and to check the “Last Updated” date at the top of the Terms and Conditions for the most recent version. In addition, when using services or features on the App you will be subject to any posted guidelines or policies applicable to such services or features that may be posted from time to time, including but not limited to our Privacy Policy and other disclaimers as stated on this App or our website located at https://hidoc.co/index.php. All such guidelines or policies are hereby incorporated as though fully stated herein

Service Availability

The Service may be modified, updated, interrupted, suspended, or discontinued at any time. Company has no liability for modification or discontinuation. Medibot also reserves similar rights to modify or decline services without notice.

Company reserves the right, at any time, in its sole discretion to modify, temporarily or permanently block access to, suspend, or discontinue the Service, in whole or in part, with or without notice and effective immediately to any User.

Company will have no liability whatsoever for any losses, liabilities or damages you may incur as the result of any modification, suspension, or discontinuation of the Service or any part thereof.

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy  which outlines how we collect, use, disclose and safeguard your information when you visit our Platform. Please read our Privacy Policy carefully to understand our views and practices regarding your personal data and how we will treat it.

By using the Platform, you consent to the collection and use of your information in accordance with our Privacy Policy. If you do not agree with the practices described in the Privacy Policy, you should not use the Platform.

The Privacy Policy covers, inter alia:

 What Information We Collect: Includes information you provide directly, data collected automatically, and information collected from third-party integrations.

 How We Use the Information: To operate, improve, and personalize the services we offer; to provide customer support; and to communicate with you.

 Sharing of Information: We do not sell your personal information. We may share data with service providers under confidentiality agreements, legal authorities when required by law, and with affiliated companies.

 Data Security: We implement a variety of security measures to maintain the safety of your personal information.

 Data Retention: We retain your information as long as necessary to provide you services and fulfill the purposes described in our Privacy Policy.

 Your Rights: Depending on your location, you may have rights under applicable data protection laws, including the right to access, correct, or delete your personal information.

 Third-Party Services: Our Platform may contain links to other websites or services. We are not responsible for the privacy practices of such third parties.

 Changes to the Privacy Policy: We reserve the right to update the Privacy Policy at any time. Updates will be posted on this page with a revised effective date.

Age

Service is for individuals 18+ or of legal majority. Medibot services require users to also acknowledge they are not submitting data of minors.

Intellectual Property

You acknowledge that all the intellectual property rights in the Service, including, but not limited to, copyrights, patents, trademarks, and trade secrets, the website design, application design, graphics, text, sounds, pictures, service marks, trade names, domain names, slogans, logos, other files and the selection and arrangement thereof, and other indicia of origin that appear on or in connection with any aspect of the Service(collectively hereinafter referred to as the “Materials”) are either the property of Company, its affiliates or licensors and are subject to and protected by United States and international copyright and other intellectual property laws and rights. All rights to Materials not expressly granted in these Terms are reserved to their respective copyright owners

Subject to these Terms, the Company grants you a limited non-transferable, non-exclusive, revocable, non-sublicensable licence to use and access the Service solely for your own personal or internal business purposes. You will not obtain any ownership interest therein through these Terms or otherwise.

You may view, download for caching purposes only, and use the Mobile Application for your own limited personal use, subject to the restrictions set out below and elsewhere in these terms and conditions, with such additions and alterations so made from time to time. All copyright and other proprietary notices contained in the original Materials. Except as expressly authorized by these Terms, you may not copy, reproduce, distribute, republish, perform, display, post, transmit, scrape, copy, exploit, create derivative works or otherwise use any of the Materials in any form or by any means, without the prior written authorization of Company or the respective copyright owner. In the absence of a written agreement, you may not modify or adapt the Materials in any way or otherwise use them for any public or commercial resale purposes. Company retains the right to rescind and terminate the limited license granted hereunder at any point, for any reason. The Company reserves the right to enforce its intellectual property rights fully under United States and international law.

Some of the company and product names, logos, brands, and other trademarks featured or referred to within the Service may not be owned by us and are the property of their respective trademark holders. These trademark holders are not affiliated with, nor do they sponsor or endorse the Service.

All rights reserved by the Company and its licensors. You may not copy, reverse-engineer, or modify any intellectual property including chatbot scripts, AI models, or interactive responses generated via Medibot.

Confidential Information, Non-Disclosure

Users acknowledge and agree that as part of the Service, Company information has been or may be made available to Users including, without limitation, information relating in any way to any products, services, methods, computer/software or any other similar or related matters or items developed, enhanced or modified by the Company (hereinafter referred to as the “Confidential Information”).

Users agree that the Confidential Information: a) is the sole and exclusive property of the Company; b) is absolutely confidential to the Company; and c) except as expressly permitted in writing by the Company, may not be disseminated, or disclosed to others. During your use of the Platform, and in the event of the termination of your access, whether voluntary or involuntary, you agree not to use, disclose, transfer or exploit the Confidential Information at any time and in any manner whatsoever for a period of five (5) years, This confidentiality also applies to Medibot data sets, algorithms, and user interaction logs unless required by law.

Exceptions. The obligations and restrictions in this Section do not apply to that part of the Confidential Information the User demonstrates; a) was or becomes generally publicly available other than as a result of a disclosure by User in violation of this agreement; b) is requested or legally compelled (by oral questions, interrogatories, requests for information or documents, subpoena, civil or criminal investigative demand, or similar processes), or is required by a regulatory body, to be disclosed. In such an event, User shall; a) provide the Company with prompt notice of these requests or requirements before making a disclosure so that the Company may seek an appropriate protective order or other appropriate remedy; b) provide reasonable assistance to the Company in obtaining a protective order.

User hereby acknowledges and agrees that the Company’s remedy at law for any breach of any of User’s obligations under this section would be inadequate, and User agrees and consents that temporary and permanent injunctive relief may be granted in any proceeding which may be brought to enforce any provision of this section, without the necessity of proof of actual damages, it being acknowledged by User that any such breach would cause irreparable injury to the Company

Use of the Service, General

Use of Medibot services is strictly limited to personal or internal business use related to medical learning and guidance. The Medibot chatbot is designed to provide general medical information and AI-based assistance only—it is not a substitute for professional medical consultation, diagnosis, or treatment. Users must not interpret Medibot responses as definitive clinical decisions or advice.

Medibot may collect and analyze inputs, queries, interaction logs, and files (such as uploaded PDFs or clinical notes) for the purpose of improving chatbot accuracy, response quality, and platform security. All interactions may be logged and monitored. Users must ensure that any uploaded content is anonymized and does not contain personally identifiable patient information unless explicitly authorized or required by applicable law.

You may not use Medibot to generate, promote, or distribute misleading health-related content, misinformation, advertisements, or content that violates applicable healthcare regulations (such as HIPAA, PHIPA, or GDPR depending on jurisdiction). You must also refrain from attempting to reverse-engineer or manipulate the AI logic, prompt templates, or generated outputs.

Additionally, the use of Medibot may be subject to limits based on daily request quotas, file size restrictions, or prohibited use cases as defined by the Company. These limits may change periodically to optimize system performance and reduce misuse risks. Use of automated agents, bots, or scripts to access Medibot beyond approved methods is strictly prohibited.

The Company reserves the right to monitor, audit, and terminate accounts that violate these provisions, or that demonstrate high-risk or suspicious usage patterns including automated mass querying, scraping content from Medibot, or sharing confidential responses on public platforms.

Prohibited Activities

No offensive content, spamming, uploading viruses, scraping, or circumventing security. You must not upload copyrighted data or confidential health information to Medibot unless you have permission.

User Content & Feedback

All user-generated content becomes licensed to the Company. Submissions to Medibot, including queries, logs, uploads, and any interactions with chatbot interfaces or text processing tools, are governed by this same agreement.

"User Content" refers to all data, text, images, documents, or other materials that users upload, submit, transmit, or otherwise provide when using Hidoc Dr. or Medibot services. You retain ownership of your original content, but by submitting it to us, you grant Hidoc Dr. and Medibot a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, host, reproduce, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media, for the purpose of improving the service, providing user support, enhancing platform functionality, and compliance with legal or regulatory obligations.

If you upload documents (e.g., PDFs, medical notes, clinical queries) to Medibot, you confirm that you have appropriate rights to share that content and that such content is not confidential, proprietary, or in violation of applicable laws. Do not include sensitive personal health information unless required and permitted by applicable law, and only in a de-identified or anonymized form.

You agree that:

  Your User Content does not violate any law or the rights of any third party.

 We are under no obligation of confidentiality regarding User Content.

 You are solely responsible for your submitted content and its legal compliance.

 Medibot may use aggregated and anonymized User Content to train or improve AI models.

We reserve the right, but not the obligation, to remove or refuse to display any User Content at our discretion. Inappropriate or misleading submissions may result in content removal, suspension, or account termination.

You may not:

 Upload malicious code or spam.

 Use Medibot to generate or disseminate false or misleading health information.

 Submit content that infringes intellectual property or privacy rights of others.

By using the Platform, you acknowledge that all content generated via Medibot may be stored and reviewed for quality control, moderation, and regulatory compliance.. Submissions to Medibot, including queries, logs, and uploads, are governed by this same agreement.

Suggestions and Improvements

Feedback to Hidoc Dr. or Medibot is non-confidential and may be reused or modified.

Representations

The services are not a substitute for professional advice. Medibot is not a licensed healthcare provider. Users are responsible for exercising independent judgment and seeking advice from qualified professionals before acting on any information obtained through the Platform or chatbot.

You expressly acknowledge, represent, warrant, and agree that:

 You understand Medibot outputs are AI-generated and not guaranteed to be accurate or medically validated.

 You will not rely on Medibot responses as definitive guidance for clinical or emergency decision-making.

 You are authorized to use any documents or data you submit to Medibot and Hidoc Dr.

 You agree not to misrepresent yourself or the purpose of your use of Medibot. All uploaded content complies with data privacy laws relevant to your jurisdiction (e.g., HIPAA, GDPR, PHIPA).

You confirm that:

 You are of legal age to form a binding agreement (at least 18 years old or equivalent legal majority).

 You understand and accept all responsibilities associated with the use of AI-assisted tools in medical or informational workflows.

Warranties, Disclaimers and Limitations of Liability

You expressly understand and agree that:

The services are provided "as is" and "as available," without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

Hidoc Dr. and Medibot do not guarantee that the services will be uninterrupted, secure, error-free, or free from viruses or other harmful components. The services may be subject to delays, interruptions, and inaccuracies inherent in the use of internet-based and AI-powered platforms.

Medibot explicitly disclaims responsibility for clinical outcomes, diagnostic accuracy, or treatment effectiveness resulting from reliance on AI-generated content, responses, or documents. Medibot does not replace professional medical consultation, and any use of its outputs for patient care or medical decision-making is at your sole risk and discretion.

To the fullest extent permitted by applicable law, in no event shall Hidoc Dr., Medibot, or their respective officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of data, profits, business, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the services.

The maximum total liability of Hidoc Dr. or Medibot for any claims arising out of or related to these Terms or your use of the services shall not exceed the total amount paid by you (if any) for the specific service giving rise to the claim in the preceding three (3) months.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above exclusions or limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless both Hidoc Dr. and Medibot, along with their respective affiliates, officers, directors, employees, agents, licensors, and service providers, from and against any and all claims, demands, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

 Your use or misuse of the Platform, including Medibot;

 Your breach or alleged breach of these Terms;

 Your violation of applicable laws, rules, or regulations;

 Any content you submit, upload, post, transmit, or otherwise make available via the Platform, including but not limited to interactions with Medibot;

 Any harm or legal dispute resulting from your reliance on AI-generated content, recommendations, or responses provided by Medibot;

 Any unauthorized disclosure of patient or third-party data made by you through the Platform or chatbot.

You agree that Medibot and Hidoc Dr. reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with the defense of such claims. You may not settle any claim without prior written consent of the Company.

Cancellation & Refund Policy

Subscriptions renew automatically. No pro-rata refunds. All payments made for Medibot or third-party API tools are non-refundable.

Third Party Operators and Websites.

We are not responsible for third-party content. Medibot responses or integrated links to external sources do not represent endorsements.

Digital Millennium Copyright Act (“DMCA”) NOTICE

We respect the intellectual property rights of others and expect users of the Platform, including Hidoc Dr. and Medibot, to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond promptly to valid notices of copyright infringement.

If you believe that any content on the Platform infringes your copyright, please submit a written notification that includes:

 A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

 Identification of the copyrighted work claimed to have been infringed;

 Identification of the allegedly infringing material and information reasonably sufficient to permit us to locate the material (including URL, if applicable);

 Contact information for the complaining party, such as an address, telephone number, and email address;

 A statement that the complaining party has a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;

 A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers. This DMCA process applies to content hosted or generated via both Hidoc Dr. and Medibot, including AI-generated outputs, uploads, and chatbot-assisted interactions. Note that content generated by Medibot in response to user queries may incorporate third-party data or resemble existing works due to algorithmic processing. If you believe your content was included erroneously in AI outputs, please reach out with the specifics so we can investigate and take appropriate action.

Competition                                                                                                                                          

If you take part in any competition which is run in or through the App or chatbot (“Competition“), you agree to be bound by the rules & regulations of that competition and any other rules specified from time to time (“Competition Rules“) and also, by the decisions taken, which are final in all matters relating to the Competition. We reserve the right to disqualify any entrant and/or winner in our absolute discretion without notice in accordance with the Competition Rules. Participants in the hosted competitions must follow rules. Applies to chatbot-integrated contests as well.

General

Applicable Law and Jurisdiction.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. All disputes, claims, or controversies arising out of or relating to these Terms, your use of the Platform, or any products or services provided by Hidoc Dr. or Medibot shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. By using the Platform, you consent to the personal jurisdiction of these courts.

In cases involving both Hidoc Dr. and Medibot services, or cross-border interactions, jurisdiction and applicable law shall still be determined according to the principal service or platform used. Users outside the United States are responsible for compliance with local laws, but these Terms are intended to be enforceable under Delaware law as the governing framework.

Miscellaneous

These Terms apply to all Hidoc Dr. and affiliated domains, as well as Medibot-hosted platforms and chatbot domains operated by the Company.

These Terms constitute the entire agreement between the user and the Company relating to the subject matter herein and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between the user and the Company.

If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be deemed modified to the extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a continuing waiver of such term or any other term, and any failure by the Company to assert a right or provision shall not constitute a waiver of such right or provision.

You may not assign or delegate your rights or obligations under these Terms without the prior written consent of the Company. Any attempted assignment without such consent shall be null and void. The Company may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms, and you do not have any authority to bind the Company in any respect.

Nothing in these Terms shall be deemed to confer any rights or benefits on any third party. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

The headings used in these Terms are for convenience only and will not affect the interpretation or legal enforceability of any provision herein.

All rights not expressly granted herein are reserved by the Company.

These Terms & Conditions apply to all platforms, applications, domains, and services owned, operated, or otherwise managed by Hidoc Dr. Inc., including affiliated properties and chatbot technologies such as Medibot. This includes but is not limited to:
